Terms & Conditions

1. Warranties

Third-party components, including sauna heaters manufactured by Harvia, are subject solely to the manufacturer’s warranty. Seller provides a limited two (2) year workmanship warranty covering defects under normal commercial use. This warranty excludes normal wear, wood movement, environmental exposure, improper installation, misuse, condensation-related corrosion, or failure to follow operating instructions. Seller’s total liability shall not exceed the amount paid under this Agreement.

2. Timeline and Delays

Production and delivery timelines are estimates and not guarantees. Seller shall not be liable for delays caused by supply chain disruptions, transportation issues, force majeure events, weather, or third-party contractors. Delays resulting from Purchaser actions—including permitting, site readiness, inspections, or utility setup—may extend project timelines without penalty to Seller.

3. Change Orders

Any modification or deviation from the agreed specifications must be documented in a written Change Order signed by both parties. Changes may result in additional costs and timeline extensions. Seller is not obligated to proceed with requested modifications until written approval and any required additional payment have been received.

4. Fire Safety and Operational Liability

Purchaser acknowledges that sauna systems involve high heat and electrical or combustion components. Purchaser assumes full responsibility for proper installation, code compliance, safe operation, required inspections, and maintaining appropriate insurance coverage. Seller shall not be liable for fire damage, personal injury, property damage, or business interruption arising from installation, operation, or maintenance of the sauna unit.

5. ADA and Code Compliance

Unless expressly agreed to in writing, Seller does not guarantee compliance with ADA requirements, accessibility standards, or local building and zoning codes. Purchaser is solely responsible for ensuring the sauna’s placement, use, and operation comply with all applicable regulations and permitting requirements.

6. Intellectual Property

All designs, renderings, CAD files, construction methods, and proprietary elements remain the intellectual property of Woods & Water Sauna Co., LLC. Purchaser may use the purchased unit for commercial operation but may not replicate, manufacture, distribute, or reverse engineer Seller’s designs without written consent.

7. Refunds & Cancellations

Refunds are available only until the contract of work has been signed and construction has begun. Once the contract is signed and work begins, all payments are non-refundable. Seller may suspend work or terminate this Agreement in the event of nonpayment or material breach.

8. Dispute Resolution and Governing Law

This Agreement shall be governed by the laws of the State of Minnesota. The parties agree to attempt mediation prior to litigation. Any unresolved disputes shall be brought in the appropriate court located in Minnesota, and the prevailing party shall be entitled to recover reasonable attorney fees and costs.

9. Limitation of Liability

Seller shall not be liable for consequential, incidental, or indirect damages, including loss of revenue or business interruption. Seller’s total aggregate liability under this Agreement shall not exceed the total purchase price paid by Purchaser.

This Agreement represents the entire understanding between the parties and supersedes all prior discussions or representations. Any amendments must be made in writing and signed by both parties.

Buy purchasing from Woods & Water Sauna Company LLC, customer agrees to adhere to all terms and conditions as listed in this Purchase Agreement. Customer takes full ownership of property upon delivery.
